Greetings from the Institute of Company Secretaries of India!

The Institute of Company Secretaries of India (ICSI) is a statutory body established under the Company Secretaries Act, 1980, to develop and regulate the profession of Company Secretaries in India. The Institute works under the aegis and guidance of the Ministry of Corporate Affairs, Government of India. Presently, the Institute has on its roll over 70,000 members who are actively engaged in the corporate sector and over 400,000 students pursuing the course of Company Secretaryship.

The Institute offers the course of Company Secretary and provides postal and oral coaching through its 4 regional offices and 70 chapter offices across India. In addition to these, the Institute has also signed MoUs with various universities/colleges where chapter offices are not present to guide students to qualify as Company Secretaries and become the corporate governance professionals.

The CS Course is by Correspondence / Distance Learning with provision for optional oral coaching classes. There are three stages to be pursued to qualify as a Company Secretary and a compulsory training requirement.

The detail course structure along with subjects offered is enclosed. (Enclose soft copy of CS Brochure)

The Companies Act, 2013 Act confers a special status to Company Secretary as the Key Managerial Personnel (KMP) and has bracketed him along with Managing Director (MD) or Chief Executive Officer (CEO) or Manager, Whole-time director(s) or Chief Financial Officer (CFO). It is mandatory for every listed company and every other public company having a paid up share capital of ten crore rupees or more to appoint a whole time KMP. Also a company other than a company covered above which has a paid up share capital of five crore rupees or more is required to have a whole-time company secretary.

The company secretaries have also been empowered as secretarial auditor under section 204 of the Companies Act, 2013. For the first time in our country, the Company Secretaries are recognised as advisors to the Board on the affairs of the Company and all matters to ensure good Corporate Governance by the Act itself. They are also required to guide the Board on its own role, responsibilities and duties.

The opportunities are galore. However there is need to guide and train the students to become a Corporate Governance professional through the course of company secretaryship.
